ICM says you need to be better than 43% to win to call the all in. I just ran the odds calculator for like 10 different possible opponent hands to see how your hand would fare against those, and I had them all listed, but my computer just froze so I lost them. I'm not going to redo them, but the bottom line was that if the opponent has a made set or better, you don't have the odds to call the all in. If he has 2 pair, then it is borderline. If he has 88 and one is not the 8 of clubs, then you barely have odds--but if one is the 8 of clubs, you don't have the odds. If he has AA or KK and no club, it is a call, but if one is the club, it is a no call. If he has any other pair it is a call for you. If he has the nut flush draw, then it's a no call for you. If he has any straight draw you have the odds.
I have a problem putting him on AA or KK here, since he didn't raise pre-flop. The problem is that the all in raise by him could mean any of the other hands: 99-JJ, flush draw, made straight, top pair, two pair, set--some of those you have odds to call and some of those you don't. I would probably be a puss and lay it.
